Acceptance: All orders are subject to acceptance by EZ SOLAR.
Payment Terms: Payment terms for this order are specified in the Invoice. All amounts past due shall be subject to payment of interest on such overdue amount at the rate of 1-1/2% per month. All costs incurred to collect such amount, including collection of agency fees, court costs, and/or attorney’s fees, shall be paid by the Buyer.
Delivery: Delivery date given prior to or after placement of an order is determined to the best of our ability based on our normal production cycle. The delivery date is in no way guaranteed unless otherwise specified in writing. Therefore, EZ SOLAR is not indemnitor for any damages, losses, or claims whatsoever due to inability to meet such a delivery date.
Shipping: FOB Origin, Freight Prepaid to stocking distributors. Routing method and carrier will be determined by EZ SOLAR. Alaska, Hawaii, Puerto Rico and export shipments are F.A.S. Port of Embarkation with all export charges to the buyer’s account. Missing or damaged items must be reported within 24 hours of receipt of the order.
Warranties: EZ SOLAR warrants to the original owner products manufactured by the company to be free from defects in workmanship for a period of 25 years from manufacturer’s defects. If within such a period any such goods shall be proven to EZ SOLAR’s satisfaction to be so defective, then and in that event the enclosure shall be repaired or replaced at EZ SOLAR’s option. Such correction or replacement of defective goods shall constitute a fulfillment of all liabilities in respect to such goods. This warranty will only apply if the covered product is installed, operated and maintained strictly in accordance with EZ SOLAR’s installation manual. This warranty does not cover equipment damage or malfunction due to misuse, abuse or accident.
Return Policy: Products will be considered returnable only within 90 days following receipt of the order. Returned product must be in original packaging, unused, in acceptable condition for resale, and in production at the time of return. Buyer agrees to pay a restocking fee equal to 20% of the total cost of the order plus shipping cost on all accepted returns.
Rework: No credit will be allowed for rework unless authorized in advance in writing by EZ SOLAR.
Clerical Errors: All clerical errors are subject to correction. Weights and dimensions are careful estimates but are not guaranteed.
Other: EZ SOLAR shall not be liable for any consequential, contingent or incidental damages whatsoever. No penalty clause at any time will be applicable in any form unless written approval is provided by an officer of EZ SOLAR.
Governing Law and Jurisdiction: This agreement shall be governed by and construed in accordance with Utah law. Any disputes arising hereunder shall be resolved in the appropriate court of law in Salt Lake County, Utah. Buyer hereby submits to personal jurisdiction in Utah and agrees that such court shall have exclusive jurisdiction over the disputed matter.
